Standard Commercial Terms and Conditions of Sale

Application, General Definitions And Entire Agreement

The Company: BistroToRestro
The Buyer: the person, business, or entity entering into an agreement with BistroToRestro, including any delivery address provided during the order process.
The Contract: the agreement for purchasing goods under these terms between the buyer and BistroToRestro.
These terms and conditions apply when the buyer places an order for the goods detailed in our quotation.
These terms and conditions form the complete agreement between the buyer and the company. The agreement is considered accepted when the buyer accepts the quotation or when the goods are delivered, whichever happens first.
The quotation and these terms and conditions (collectively referred to as the "Contract") define the purchase and sale of goods between the buyer and BistroToRestro.

General Interpretation & Definitions

  • A "business day" is any day that is not a Saturday, Sunday, or a public/national holiday.
  • The section headings in these terms are for convenience only and do not impact the interpretation of these terms.
  • Words in the singular also refer to the plural, and vice versa.

Product Descriptions

  • The information in our catalog, brochures, and website is intended to offer a general idea of the goods.
  • While we make every effort to provide accurate specifications, measurements, pricing, and images, the actual products delivered may vary slightly due to product enhancements and updates.
  • The product descriptions in our quotation and/or sales order are definitive. By accepting the quotation or sales order, the buyer acknowledges they have not relied on any previous representations about the products. Our sales documentation is for reference only.

Placing Orders

  • The buyer is responsible for ensuring the accuracy of the order.
  • We do not offer trial sales for products. Before making a purchase, buyers should carefully review product specifications and suitability. By submitting an order, the buyer affirms they have considered the product's specifications and its appropriateness for their intended use.
  • BistroToRestro does not guarantee that the products will be suitable for particular applications or that they will fit in the buyer’s designated space (including doorways and entry points).
  • Orders accepted by the company can be canceled based on stock availability, fraud detection, or if the items are no longer available at the time of shipment.

Product Pricing

  • Prices include all applicable taxes.
  • Unless otherwise specified, shipping charges are not included in the quoted price.
  • Quoted prices cover only the cost of the goods and do not include installation.
  • Discounts are provided at the discretion of BistroToRestro.
  • Prices may change if there is an update after the quotation date.
  • All orders placed on our website are subject to acceptance.
  • Full payment is required at the time of placing the order unless otherwise agreed.

Delivery Terms

  • The goods will be delivered to the address specified in the buyer’s purchase order within the time frame agreed upon.
  • Delivery time frames are estimates.
  • We will strive to deliver the items within the specified time, but we do not guarantee delivery even if the buyer has paid for a timed or expedited service. The buyer agrees not to hold BistroToRestro liable for delays or non-delivery, nor for any costs incurred due to such delays.
  • If the buyer refuses delivery or provides incorrect or insufficient delivery instructions, we may store the goods and charge the buyer for associated storage costs, including insurance.
  • The goods must be inspected at the time of delivery or pickup. Any damages, incorrect items, or shortages must be reported within 24 hours of delivery with supporting details or photographic evidence, where possible. The buyer must allow us or our carrier to inspect the damaged goods.
  • Returns are the responsibility of the buyer and must be made at their own risk and expense.
  • BistroToRestro is not liable for any delays in delivery or non-delivery.
  • Delivery dates are approximate and may vary.
  • Orders will be delivered from our stock.

Deliveries are made curbside only. The buyer is responsible for ensuring that the delivery location is suitable for receiving the goods. BistroToRestro disclaims responsibility for any failure to check that the products will fit the delivery space. We reserve the right to refuse delivery if we find that the premises are unsuitable or if the delivery would be unsafe, unlawful, or unreasonable.

The buyer must inspect the goods upon delivery. Failure to notify BistroToRestro of any discrepancies within 24 hours will constitute acceptance of the goods by the buyer.

Returns Policy

  • Once an order is confirmed, cancellations are not allowed.
  • Returns are accepted within 30 days from the acceptance of the order.
  • Incorrectly ordered items may only be returned with prior authorization from BistroToRestro. Unauthorized returns will not be accepted. Returns require a Return Merchandise Authorization (RMA) number, which must be issued by BistroToRestro. Requests for returns must be made via email ([email protected]); returns made through phone calls or chats will not be processed.
  • Items must be returned in their original packaging, unused, and undamaged, with all manuals intact.
  • Cancellation rights apply only within seven business days after delivery.
    Items such as printed circuit boards that are no longer sealed and unused in their original packaging are ineligible for returns.

Returns will only be accepted under the following conditions:

  • Prior written agreement
  • Payment of applicable handling or restocking fees
  • The goods are unused, undamaged, and in their original packaging
    The buyer is responsible for covering all return shipping costs. The buyer must also ensure the goods are properly insured for return shipping, as BistroToRestro assumes no liability for any loss or damage during the return process.

Warranties
Aside from any warranty provided by the manufacturer, BistroToRestro does not offer any other warranties (express or implied) regarding the product’s quality or its suitability for specific uses.

Product Specifications
The product specifications on our website are provided by the manufacturers.
As the buyer, you are responsible for confirming that the items are suitable for their intended use and do not violate any laws, regulations, or intellectual property rights.

Liability Disclaimer
BistroToRestro accepts no responsibility for any claims, losses, damages, or other consequences arising from misrepresentation, breach of contract, delays in delivery, negligence, or any other cause.
We specifically disclaim liability for any damages arising from the use of our website, brochures, catalogs, or any other promotional materials, including errors, omissions, or misleading information. This includes, but is not limited to, direct, indirect, incidental, or consequential losses such as loss of revenue, data, profits, or other damages.
Neither party will be liable for any failure to perform due to events beyond their reasonable control, including acts of God, wars, strikes, natural disasters, or other unforeseen circumstances.

 

Governing Law
Any disputes related to this contract will be resolved in accordance with the laws of the relevant jurisdiction.
